1. Acceptance of Terms
By accessing or using Admin Catalyst's services, you agree to these Terms of Service. If you do not agree to these terms, you must discontinue use of our services immediately.
2. Services Provided
Admin Catalyst provides document digitization, form conversion, and workflow automation solutions tailored to universities and other institutions. Our services are customized based on client needs and delivered as agreed upon in service agreements or order forms.
3. Payment & Billing
- Clients will be invoiced based on agreed pricing, either per form, per project, or on a recurring basis.
- Payment is due within 30 days of invoice issuance unless otherwise specified.
- Credit card payments will be automatically processed according to the agreed-upon billing schedule.
- Late payments may result in service suspension until outstanding balances are settled.
4. Modifications to Services
Admin Catalyst reserves the right to modify or discontinue services with notice to clients. Any significant changes will be communicated in advance, and custom service agreements will be updated accordingly.
5. Restrictions
Clients may not:
- Use our services for unlawful purposes.
- Copy, distribute, or modify any part of the platform without authorization.
- Reverse-engineer or attempt to exploit our services.
6. Confidentiality & Data Security
- We prioritize data security and confidentiality. Sensitive information shared with Admin Catalyst is handled in compliance with applicable privacy laws.
- We implement industry-standard security measures to protect data integrity and prevent unauthorized access.
- Admin Catalyst is not liable for security breaches resulting from client-side actions or negligence.
7. Intellectual Property
- All digital forms, workflows, and solutions developed for clients remain the intellectual property of Admin Catalyst unless explicitly agreed otherwise.
- Clients may use customized forms and documents for their internal purposes but may not distribute, resell, or modify them for commercial use without permission.
8. Termination of Services
- Either party may terminate the service agreement with written notice.
- Either party may terminate this Agreement upon 60 days’ written notice.
- Either party may terminate for material breach if the breaching party fails to cure within 30 days.
9. Limitation of Liability
Admin Catalyst is not liable for any indirect, incidental, special, or consequential damages resulting from service use (such as lost profits, business interruptions, or loss of data) arising from:
- Your access to, use of, or inability to use our services.
- Any security breaches related to the transmission of information over the internet.
- Any reliance on our platform, content, or services, even if we were advised of the potential for such damages.
Services are provided “as is” without warranties of any kind.
By using Admin Catalyst’s services, you acknowledge that these limitations of liability are reasonable. If you do not agree, you must discontinue use of our services.
10. Governing Law
These terms of service shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction of Illinois, USA, without regard to conflict of law principles. Any disputes arising from or related to this Agreement shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute shall be subject to binding arbitration or litigation in a mutually agreed-upon jurisdiction. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full effect.
